Board

The Board shall have entire control and management of the property, business, funds and affairs of the Affiliate. Without limiting the foregoing, the Board may cause the Affiliate (i) to acquire, by purchase, donation, bequest, and lease or otherwise, property of every description, real, personal or mixed and (ii) to lease, mortgage or dispose of such portions of the Affiliate property, real, personal or mixed. The Board shall annually approve a proposed operating budget for each fiscal year and may develop a long term capital expenditure plan and monitor implementation of the plan. The Board may take such actions as may be necessary or appropriate to serve the purposes of the Affiliate.
